LLC & Corporation Formation

Start your LLC or corporation the right way, the first time.

LLCs, C-Corps, S-Corps, Close Corporations, Professional Corporations, Non-Profits and Series LLCs — filed in the state that actually fits your business, not just the one that’s easiest to sell.

Entity types we form

We file whichever structure fits your situation — not just the one that’s easiest for us. Every formation includes one year of registered agent service and your approved state filing delivered straight to you.

  • LLC (Limited Liability Company) — the most common choice for small businesses, rental property holders and online sellers. Simple to run, flexible taxation, personal liability protection.
  • C-Corporation — a separate taxable entity, the standard choice for companies planning to raise outside investment or issue stock broadly.
  • S-Corporation — a tax election (on top of an LLC or corporation) that can reduce self-employment tax for profitable owner-operated businesses.
  • Close Corporation — a simplified corporate structure for a small number of shareholders who want less formal governance.
  • Professional Corporation — for licensed professionals (doctors, attorneys, accountants, engineers) whose state requires a specific entity type.
  • Non-Profit Corporation — formed for charitable, religious, educational or other tax-exempt purposes; we prepare the filing your 501(c)(3) application will build on.
  • Series LLC — one parent LLC that holds multiple independent “series,” each shielded from the others’ liabilities — popular with real estate investors running several properties.

Which state should you form in?

We file in five states, and the right one depends on what you’re trying to accomplish:

  • Wyoming — zero state income tax, strong charging-order asset protection, and the lowest-profile public filings of any state we offer. Our most popular choice for online businesses, holding companies and out-of-state owners.
  • Montana — no sales tax, making it the go-to state for titling vehicles, RVs, trailers and side-by-sides.
  • Nevada — zero state income tax with strong privacy protections, often used alongside a Wyoming holding structure.
  • Texas — no state income tax and a large in-state customer base, a natural fit if you’re already doing business there.
  • Illinois — the right call if your business is physically based or licensed in Illinois.

Not sure which fits? Call or text us — we’ll ask a few questions about your situation and recommend a state, free of charge, before you pay for anything.

Common Questions

Quick answers

How long does formation take?

Most Wyoming filings are submitted within one business day of receiving your information. Other states vary — ask us for current processing times.

Do I need to be a U.S. citizen or resident?

No. We regularly form LLCs and corporations for international clients. The $350 international rate covers the extra verification and document handling involved.

Can I convert my LLC to a corporation later, or vice versa?

Yes, most states allow a statutory conversion. It’s a separate filing — call us when you’re ready and we’ll walk you through it.
